Effective date: August 5, 2026
These Terms & Conditions (“Terms”) govern your access to and use of the public website operated by Healthcare-ID, Inc. (“Healthcare-ID,” “we,” “us,” or “our”).
1. Acceptance of these terms
By accessing or using this website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website. You represent that you are legally able to agree to these Terms.
2. Informational website
This website provides general information about Healthcare-ID and its products and services. Website content is not medical, clinical, legal, regulatory, or other professional advice and should not be used to make decisions concerning donor eligibility, patient care, product release, regulatory compliance, or any other clinical or operational matter.
3. Permitted use
You may use the website for lawful informational and business purposes. You may not:
- use the website in violation of applicable law or another person’s rights;
- attempt to gain unauthorized access to restricted areas, accounts, systems, or data;
- interfere with, disrupt, probe, scan, or test the website or its security without written authorization;
- introduce malicious code or use automated means that place an unreasonable burden on the website;
- misrepresent your identity or affiliation with any person or organization; or
- copy, modify, distribute, or commercially exploit website content except as permitted by law or written authorization.
4. Website accounts
You must provide accurate, current information when creating an account and keep your login credentials confidential. You are responsible for activity conducted through your account and must promptly notify Healthcare-ID if you suspect unauthorized access. You may not share an account, create an account for another person without authorization, or attempt to obtain a role or access level that has not been assigned to you.
Healthcare-ID may disable or restrict an account to protect the website, investigate suspected misuse, comply with law, or enforce these Terms. Creating a website account does not grant access to Donor-ID, customer systems, support resources, or any other product or service unless Healthcare-ID separately authorizes that access.
5. Intellectual property
The website and its content—including text, graphics, designs, photographs, software, product names, logos, and trademarks—are owned by or licensed to Healthcare-ID and are protected by intellectual-property laws. No license or ownership right is granted except the limited right to access and use the website under these Terms.
Healthcare-ID, Donor-ID, associated logos, and other product or service names may be trademarks of Healthcare-ID. Other names and marks belong to their respective owners. Use of a customer or partner name or logo does not imply endorsement beyond the relationship described on the website.
6. Product and regulatory information
Product descriptions, features, availability, configurations, interfaces, regulatory status, and technical information may change and may vary by version, customer agreement, implementation, or jurisdiction. References to regulatory clearance or compliance apply only to the specific product, version, intended use, and circumstances covered by the applicable authorization or documentation.
Do not rely on website content as a substitute for current product labeling, user documentation, release materials, validation records, written specifications, regulatory documentation, or instructions provided under a customer agreement.
7. Third-party links and content
The website may contain links to third-party websites or refer to third-party products and organizations. Those links are provided for convenience and do not constitute control, sponsorship, or endorsement. Healthcare-ID is not responsible for third-party content, availability, security, or practices. Your use of third-party services is governed by their terms and policies.
8. Disclaimers
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” Healthcare-ID disclaims all express, implied, and statutory warranties concerning the website, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, availability, and freedom from harmful components.
We do not warrant that the website will always be available, secure, current, complete, or error-free. Nothing in this section limits warranties that cannot lawfully be excluded or any express warranty contained in a separately signed agreement.
9. Limitation of liability
To the fullest extent permitted by law, Healthcare-ID and its officers, directors, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, goodwill, or business opportunity, arising from or related to the website or these Terms.
To the fullest extent permitted by law, Healthcare-ID’s aggregate liability arising from or related to the public website will not exceed one hundred U.S. dollars (US $100). These limitations do not apply where prohibited by law or to obligations expressly stated in a separately signed agreement.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Healthcare-ID and its officers, directors, employees, and agents from claims, liabilities, damages, judgments, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, or your infringement of another person’s rights.
11. Website changes and termination
We may change, suspend, restrict, or discontinue any part of the website at any time. We may also restrict access where we reasonably believe use is unlawful, unauthorized, harmful, or inconsistent with these Terms.
12. Governing law
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Subject to applicable law and any controlling written agreement, disputes concerning these Terms or the public website will be brought in a court of competent jurisdiction located in Illinois, and each party consents to that jurisdiction and venue.
13. General provisions
If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. These Terms, together with the Privacy Policy, are the entire agreement concerning use of the public website, except where a separately signed agreement applies.
14. Changes to these terms
We may revise these Terms from time to time. Revised Terms will be posted on this page with an updated effective date. Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
